Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Parny platform and related services (the "Service"), operated by Parny Teknoloji Yonetim AS ("Parny", "we", "us", or "our"), a company registered at Orhangazi Mahallesi, Teknopark Caddesi, No:1 Düzce Teknopark, 81950 Merkez/Düzce. By creating an account, subscribing to, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Parny is a subscription-based software-as-a-service (SaaS) platform for engineering, DevOps, and IT operations teams. It helps organizations monitor their infrastructure, manage on-call schedules and alerting, and respond to operational incidents — including surfacing the likely root cause of an issue to reduce downtime. The Service is intended for use by businesses and their authorized personnel.

2. Eligibility and Accounts

You must be at least 18 years old and authorized to act on behalf of the business you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate, current, and complete information and keep it up to date.

3. Subscriptions and Billing

Subscription fees, billing intervals (monthly or annual), and the features included in each plan are described on our pricing page and presented to you before purchase. Fees are charged in advance and, except as set out in our Refund Policy or as required by applicable law, are non-refundable.

Payments are processed through our authorized third-party payment provider, which may act as merchant of record for the transaction and is responsible for billing, issuing invoices and receipts, and collecting and remitting applicable taxes. Refunds are governed by our Refund Policy. By completing a purchase, you confirm that you have reviewed and accepted these Terms and our Refund Policy.

4. Automatic Renewal and Cancellation

Subscriptions renew automatically at the end of each billing period at the then-current price unless cancelled before the renewal date. You can cancel at any time through the subscription management link in your order receipt or your account billing page. Cancellation stops future renewals; refunds (if any) are governed by our Refund Policy.

5. Acceptable Use

You agree not to misuse the Service, including but not limited to: attempting to gain unauthorized access to the Service or its systems; reverse engineering or copying the Service except as permitted by law; using the Service to violate any law or third-party rights; or interfering with the integrity or performance of the Service. We may suspend or terminate access for violations.

6. Customer Data

To provide the Service, you may connect or transmit data from your systems (such as monitoring signals, logs, alerts, and operational metadata). You retain ownership of your data. We process it to provide and improve the Service as described in our Privacy Policy and, where applicable, a separate Data Processing Agreement. You are responsible for ensuring you have the rights to provide any data you connect.

7. Intellectual Property

The Service, including all software, content, and trademarks, is owned by or licensed to Parny and protected by applicable laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during your subscription term, subject to these Terms.

8. Service Availability

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free operation unless an applicable service level agreement (SLA) is expressly agreed in writing. We may modify, update, or discontinue features with reasonable notice where practicable.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. Parny does not warrant that the Service will meet your requirements or that any output (including root-cause suggestions) will be accurate or complete. You remain responsible for operational decisions made using the Service.

10. Limitation of Liability

To the maximum extent permitted by law, Parny will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid for the Service in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold Parny harmless from any claims, damages, or expenses arising from your use of the Service or your breach of these Terms.

12. Term and Termination

These Terms apply for as long as you use the Service. We may suspend or terminate your access if you breach these Terms or if required by law. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive termination will survive.

13. Governing Law

These Terms are governed by the laws of Türkiye, without regard to conflict-of-law principles. The courts of Düzce will have jurisdiction over any disputes, subject to any mandatory consumer protections in your country of residence.

14. Changes to These Terms

We may update these Terms from time to time. The version in effect at the time of your transaction governs that transaction. Material changes will be communicated through the Service or by email.
